Welcome to ChọCho. These Terms of Use (“Terms” or “Terms of Use") govern your access to and use of all services provided by ChọCho, including our application, website, software, and related features and tools (collectively, the “Platform”).
The Platform is provided and operated by UNIVOVA PTE. LTD., a company incorporated in Singapore, with its registered address at:

(“ChọCho”, “we”, “us”).
“Services” means all features, utilities, and tools we provide through the Platform.
“You” or “user” means any individual or organization accessing or using the Services.
By accessing or using the Platform, you acknowledge that these Terms form a legally binding agreement between you and ChọCho. Please read them carefully.
1. Introduction to ChọCho
1.1 Purpose of the Platform
ChọCho is a community platform built on the spirit of “Give – Receive – Give Forward.”
Users can share items, time, skills, or any kind of positive support through short videos, posts, and messages.
1.2 Non-commercial nature
Unless explicitly stated otherwise in specific policies (such as the Advertising Policy), the Platform is designed for non-commercial, voluntary activities.
ChọCho is not an e-commerce platform or marketplace and is not intended for the buying and selling of goods.
1.3 Community values
ChọCho expects users to act with:
Kindness – respect – responsibility – equality
No exploiting circumstances or others’ hardships for views or personal gain
No discriminating between rich and poor or any social status
Preserving the dignity of everyone involved in giving and receiving
2. Acceptance of Terms & Supplemental Terms
2.1 Acting on behalf of an organization
If you use the Platform on behalf of an organization, you agree that:
The terms "you" and "your" include both you and that organization or legal entity;
You represent and warrant that you are an authorized legal representative with the authority to bind that organization or legal entity to these Terms, and you agree to these Terms on behalf of that organization or legal entity;
Your organization or legal entity will be legally and financially responsible for your access to and use of the Services, as well as for the use of your account by other related parties.
2.2 Legal binding
By using the Platform, you confirm that you:
Have the legal capacity to form a binding agreement with Cho Cho;
Have read and understood these Terms;
Agree to fully comply with these Terms.
Your access to and use of the Services must also comply with all our policies posted on the Platform, the terms of which can be found directly on the Platform, or where the Platform is made available for download, on your mobile device's app store, and are incorporated into these Terms by reference
2.3 Supplemental Terms by region
If you access or use the Services from a jurisdiction that has specific supplementary regulations, you also agree to the supplementary Terms applicable to that area. In the event of a conflict between the Supplementary Terms applicable to the jurisdiction where you access or use the Services and the provisions in these Terms, the Supplementary Terms applicable to that area shall prevail. If you do not agree to these Terms, you may not access or use the Services.

All of the above are part of these Terms. You are responsible for reading the entire content of these Terms, including all referenced and incorporated policies, before using the Services. By accessing or continuing to use the Services, you confirm that you have read, understood, and agree to all contents of the Terms, and such access or use will be considered your acceptance of the Terms from the moment it occurs.
2.5 “Scroll-to-accept” requirement
We may require you to scroll through and review the Terms before clicking “Agree” or proceeding further on the Platform.
3. Conditions of Use & Accounts
3.1 Minimum age
You must be at least 16 years of age (or such other age as may be specified in the applicable supplementary Terms for each region).
If we discover that a user is under the required age, we may suspend or terminate the account.
You are only permitted to access and use the Services for lawful purposes, in accordance with these Terms. Any abusive, unauthorized, or improper use is strictly prohibited.
3.2 Account registration
You must provide complete, accurate, and up-to-date information.
We reserve the right to suspend or terminate your account if any false, misleading, or fraudulent information is identified.
You may access and use the Services solely for lawful purposes and in accordance with these Terms. Any abusive, improper, or unauthorized use is strictly prohibited.
3.3 Account security
You are responsible for:
Keeping your login credentials confidential;
Not sharing your password;
Not granting access to untrusted individuals.
All actions taken through your account will be deemed to have been performed by you.
3.4 Responsibility for third-party use of your account
If you allow others to use your account, you remain fully responsible for their actions.
3.5 Our rights over accounts
We may suspend or terminate an account if:
These Terms or related policies are violated;
Fraud, abuse, or harmful behavior is detected;
We receive a lawful request from authorities.
3.6 Account deletion
You may request deletion of your account through the relevant function in the Platform.
After deletion:
Your account and certain data cannot be restored.
You remain responsible for obligations arising before deletion.
4. Nature of the Platform & Relationship Between Parties
4.1 Platform as intermediary
ChọCho provides connection tools only.
We do not own, buy, sell, store, or deliver any items.
4.2 Not a party to transactions
ChọCho is not:
a seller;
a buyer;
a commercial intermediary;
a charity operator acting on your behalf;
a guarantor.
All giving/receiving arrangements are strictly between users.
4.3 User’s assumption of risk
Any decision to:
Meet others.
Give items.
Receipt of items is made solely at your own discretion and risk.
4.4 No obligation to verify
We are not obligated to verify:
users’ identities or personal circumstances;
the quality, condition, or safety of any item.
You are solely responsible for assessing and verifying such matters.
5. Use of Services & Prohibited Conduct
5.1 Lawful, proper use
You may only use the Platform:
for lawful purposes;
for non-commercial giving and receiving (except as permitted via our Advertising Policy);
in line with the spirit of “Give – Receive – Give Forward”;
in accordance with these Terms and all ChọCho policies.
5.2 Items, giving & prohibited categories
5.2.1 Giving–receiving only, non-commercial
You may only give and/or receive items. You must not:
Sell, auction, or offer items for sale;
Collect money, require deposits, or charge fees for receiving items.
Unless such activity is carried out in accordance with the Advertising Policy or is expressly approved in writing by ChọCho.
5.2.2 Strictly prohibited items
The following are strictly prohibited (non-exhaustive list):
weapons, explosives, and dangerous tools;
illegal drugs, controlled substances;
prescription medicines;
counterfeit goods, pirated content, IP-infringing items;
human organs or body parts;
wildlife products or items prohibited by law;
items that are severely damaged or present a high risk of harm;
products or services of a sexual or adult nature;
Other products, goods, or services as prohibited or restricted under applicable laws and regulations.
5.2.3 Food & beverages
Users may only share, give away, or exchange food and beverages if such items meet applicable food safety requirements, including but not limited to proper origin, valid expiry dates, and appropriate storage conditions.
Users shall bear full responsibility for the quality, safety, storage conditions, transportation, and any risks that may arise from the sharing, giving, or exchange of food and beverages with others through the Platform.
ChọCho does not participate in the preparation, storage, inspection, or distribution of food and beverages and shall not be responsible or liable for any loss, damage, injury, or dispute arising from or in connection with food and beverages shared, given, or exchanged through the Platform.
5.2.4 Items for children
Items intended for use by children that are shared, given, or exchanged through the Platform must be safe, appropriate for the child’s age and intended use, and free from defects or technical faults that may pose a risk to the health or safety of children.
Users shall bear full responsibility for inspecting, assessing, and ensuring that children’s items meet all applicable safety requirements prior to sharing, giving, or exchanging such items, and shall bear full responsibility for any risks, damages, or losses arising from the use of such items.
ChọCho does not participate in the preparation, storage, inspection, or distribution of children’s items and shall not be liable for any claims, disputes, damages, injuries, or losses arising from or in connection with children’s items shared, given, or exchanged through the Platform.
5.3 Prohibited behaviors
You absolutely must not perform any of the following acts, including but not limited to:
Access or use the Services if you do not have full civil capacity and legal capacity to agree to these Terms.
Copy, modify, translate, reverse engineer, decompile, disassemble, create derivative works from, or unlawfully exploit any part of the Services or content within the Services.
Distribute, license, transfer, lease, lend, or sell all or part of the Services without our prior written consent.
Use the Services for commercial, advertising, marketing, or solicitation purposes without our prior written approval.
Interfere with, intrude upon, disrupt, or undermine the system, network, features, security measures, or any technical mechanisms of the Services.
Use robots, software, automated tools, or other technical means to collect data, extract content, or unlawfully interfere with the Services.
Disseminate viruses, malware, trojans, ransomware, spyware, or any malicious code that may disrupt, damage, or impair the functionality of the system, data, or devices.
Impersonate others, falsify your identity, or provide misleading information while using the Services.
Collect, store, disclose, share, or unlawfully use the personal data or sensitive information of other users.
Upload, transmit, store, or share content that violates laws, intellectual property rights, privacy rights, or other legitimate rights of third parties.
Upload, share, or promote pornographic, violent, hateful, discriminatory, threatening, harassing, offensive, shocking, extremist, terrorist, or any content harmful to the community.
Harass, threaten, bully, defame, slander, entice, defraud, or abuse the trust of other users.
Organize, participate in, or support fraudulent activities, money laundering, terrorist financing, illegal gambling, trafficking of prohibited goods, banned substances, weapons, drugs, or any criminal activities.
Exploit the Services to manipulate rankings, reviews, votes, feedback, or any interactive mechanisms to create misleading or deceptive information.
Record audio, video, or track the activities of other users without legal authorization.
Exploit, coerce, or endanger children or any vulnerable groups.
Distribute spam, bulk messages, chain letters, or any form of unsolicited communication.
Use the Services in any way that violates the national laws of your residence, international law, or applicable regulations.
Engage in any other activities that we reasonably deem harmful, abusive, or negatively impacting the Services, other users, or our reputation, image, and legitimate interests.
Core principle:
You must not violate the dignity, respect, privacy, or safety of any person.
5.4 Safety in offline meetings
If Users choose to meet or interact with other users in person outside the Platform, they are responsible for taking appropriate measures to ensure their own personal safety and security, including but not limited to:
choose a public, safe location with adequate lighting;
not share unnecessary sensitive information;
avoid giving or requesting money, valuables, or any form of compensation, gratuity, or “favor” in connection with in-person meetings between users is strictly prohibited;
assess and accept all associated risks.
ChọCho does not organize, supervise, or assume any responsibility for any incidents, damages, losses, disputes, or consequences arising from or related to in-person meetings or interactions between Users.
5.5 No unauthorized selling
You must not use the Platform to:
Engage in any commercial activities, including but not limited to the direct sale of goods or services, the acceptance of orders, or any form of disguised or indirect advertising;
Organizing, promoting, soliciting, or participating in multi-level marketing schemes, illegal capital raising, or any business or investment activities that violate applicable laws is strictly prohibited;
All advertising activities must follow ChọCho’s Advertising Policy. ChọCho reserves the right to take appropriate measures, including, without limitation, restricting, suspending, or terminating a user’s access to the Platform, in the event of any violation of this Clause or the Advertising Policy.
5.6 No money solicitation
ChọCho must not be used for the purpose of soliciting money, requesting financial contributions, or conducting money transfer–related transactions. Users may not use the Platform to request, solicit, or receive money or any benefits convertible into money, in any form whatsoever, including but not limited to the following:
post or share bank account details, e-wallet information, or other payment methods for the purpose of requesting transfers;
solicit donations for personal purposes (unless supported by valid legal documentation and expressly approved by ChọCho);
present, conceal, or misrepresent the purpose of fundraising under the guise of “giving away items,” “sharing,” or other forms of non-monetary assistance;
ChọCho reserves the right to remove any content in violation of the above and to take appropriate measures in accordance with these Terms and relevant policies, including restricting, suspending, or terminating access to the Platform, in order to maintain a safe and transparent community environment.
5.7 Future Community Tools & Fair Giveaway Features
ChọCho may introduce community interaction tools in the future, including but not limited to:
livestream features;
transparent random selection tools (fair-selection);
fair draw mechanisms;
community events and giving campaigns.
These tools will always follow these principles:
Free & voluntary — no payments, deposits, betting, or any gambling-related requirement.
Non-commercial — designed solely to support fair and transparent giving when multiple users request the same item, not to commercialize behavioral data.
Respectful & safe — may not be used to shame, pressure, or manipulate anyone.
Fair & transparent — may use automated random selection to ensure fairness.
Separate rules — detailed terms for such tools will be published when features are officially launched.
Participation in these tools is optional. ChọCho may update, adjust, or suspend such tools at any time to ensure safety and alignment with community values.
6. User Content
6.1 Definition
Within the scope of these Terms, "User Content" is content created, posted, or transmitted by you or other users through the Platform, including text, images, videos, audio, comments, reviews, profile information, or other materials/products related to giving/donating activities. You warrant that your User Content fully complies with applicable laws, these Terms, and does not infringe upon the intellectual property rights, privacy rights, personal rights, or any other legitimate rights of third parties. User Content is made public on the Application so that other users can view, search, access, and make contact.
6.2 Public nature
Depending on your settings, User Content may be viewable by other users and the public.
6.3 Ownership & license to ChọCho
Users retain ownership of the User Content they post. By posting User Content, the User grants ChọCho a non-exclusive, royalty-free, transferable, worldwide license to store, display, distribute, use, and exploit the User Content for the purpose of operating, improving, and promoting the Platform.
6.4 Your warranties
By posting, sharing, or otherwise providing any User Content on the Platform, you represent and warrant that:
You have all necessary rights, authority, and/or lawful consents to use and upload such User Content;
The User Content does not infringe any intellectual property rights of any third party, including but not limited to copyrights, trademarks, trade secrets, or other lawful rights;
The User Content does not violate the privacy, honor, dignity, reputation, or other lawful personal rights of any individual or organization;
The User Content does not contain malware, harmful software, malicious links, or any element that may disrupt, damage, or otherwise adversely affect the systems, other users, or the Platform.
Users shall be solely responsible for ensuring that their User Content complies with these Terms and our other applicable policies.
6.5 Content involving children & vulnerable persons
Where User Content involves children or vulnerable individuals, you represent and warrant that:
You have obtained the lawful and explicit consent of the parent(s) or legal guardian(s) for the recording, use, and publication of such content;
You do not use the images, information, or circumstances of children or vulnerable individuals for exploitation, inappropriate attention, or in any manner that may harm their lawful rights and interests;
The User Content does not place children or vulnerable individuals in any sensitive, dangerous, offensive, or otherwise inappropriate situations, nor in any circumstances that could adversely affect their safety, health, dignity, reputation, or development.
6.6 Our rights
We reserve the right, at our sole discretion, to edit, crop, reject, remove, or block any User Content that violates these Terms or is subject to third-party claims, without prior notice and without incurring legal liability to the user. We also have the right to disclose the user's identity to third parties if there is a complaint regarding infringement of intellectual property rights, privacy rights, or any other violation related to User Content. We recommend that Users keep copies on their personal devices, as we do not guarantee the permanent retention of Content on the Services.
6.7 Feedback
If a user provides us with feedback, comments, suggestions, or materials ("Feedback"), such Feedback is considered non-confidential, and the user grants us a perpetual, unlimited, royalty-free right to exploit, copy, modify, distribute, create derivative works from, publicly perform, publicly display, and use the Feedback for any commercial or non-commercial purpose, without any obligation for payment or attribution. We are under no obligation to review, respond to, or implement any user Feedback.
7. Our Content
7.1 Definition
Within the scope of these Terms, “Platform Content” includes all content and elements created, developed, owned, or lawfully licensed by us or our partners, which are integrated into or displayed on the Platform, and which constitute assets under our ownership and/or lawful right of use, and/or those of our licensors.
7.2 Scope of Use of Platform Content
You are only permitted to use the Platform Content within the scope explicitly permitted by us under these Terms and our other referenced policies. The use of Platform Content must not exceed the granted permissions and must absolutely not be performed in any form constituting prohibited acts as stipulated in these Terms.
Your use of the Services does not create any rights related to the Platform Content, unless explicitly licensed by us. We and our licensors reserve all rights not expressly granted to you in these Terms.
You acknowledge and agree that we may generate revenue, commercial advantage, or other value from your use of the Services, including but not limited to advertising, sponsorships, promotions, data analysis, or in-app Gifts. Unless there is a separate written agreement, you shall have no right to claim a share of any revenue, benefits, or value derived from the exploitation of Platform Content, User Content as defined below, or the use of the Services.
8. Intellectual Property Rights
8.1 Ownership of the Platform
All intellectual property rights related to the Platform, including but not limited to software, source code, interface, design, icons, logos, trade names, trademarks, content, data, and any other materials, are the lawful property of us or our legitimate licensors. You may not copy, use, distribute, exploit, create derivative works from, or infringe upon these rights in any form without our prior written consent.
8.2 Users’ obligation to respect intellectual property rights
When using the Services, you commit not to upload, post, store, share, or transmit any content that infringes upon copyright, related rights, trademarks, trade secrets, patents, or any other intellectual property rights belonging to us or any third party. Your use of the Services does not imply any transfer or grant of intellectual property rights from us to you, unless explicitly stated in writing.
8.3 Right to enforce intellectual property rights
We reserve the right, at our sole discretion and without prior notice, to block, restrict access, or terminate the account of any user found or suspected of infringing intellectual property rights.
8.4 Intellectual property infringement complaints mechanism
If you believe that your intellectual property rights have been infringed through the Services, you may contact us via the official support channels specified at the end of these Terms for review and handling in accordance with applicable laws and regulations.
9. Advertising & Third-Party Links
9.1 Advertising
All advertising on ChọCho must comply with the Advertising Policy.
Advertisers are strictly prohibited from using tracking pixels, advertising cookies, tracking SDKs, fingerprinting, or any behavioral tracking technology inside the Platform or on in-app landingpage does not sell personal data and does not share user data with advertisers.
9.2 Third-party links
When the Services contain links to third-party websites or sources, these links are provided for informational reference only. We do not control, are not responsible for, and do not implicitly endorse any content, products, or services from those third parties.
10. Reporting, Moderation & Trusted Users
10.1 Role of users
You are an essential part of the community safety system.
We encourage you to report harmful, fraudulent, or inappropriate content.
10.2 Reporting tools
Each video/post includes a “Report” function.
You select a reason and submit your report.
The system logs reports and, depending on thresholds, content may be temporarily limited and escalated to our Moderation Team.
10.3 Misuse of reporting
Abusive or malicious reporting (e.g., repeated false reports) may result in:
warnings;
trust score reduction;
temporary suspension of reporting rights;
account sanctions for severe misuse.
10.4 Trusted Users
“Trusted Users” are identified based on:
a history of accurate reporting;
consistent compliance with policies;
constructive contribution to the community.
Benefits may include:
priority handling of their reports;
a “Trusted User” badge.
Points and badges are not money, but they reflect the reputation you build over time.
Points/badges may be revoked if you violate the rules.
10.5 Automated detection & moderation
ChọCho may:
Automatically hide content that poses a high risk of violations.
Refer the content to the Moderation Team for review.
Send violation notices to the User who posted such content.
If you disagree with a moderation decision, you may appeal within 3 business days.
Appeals will be reviewed within [●] business days.
11. Data & Privacy
The collection, use, and storage of personal data are governed in detail by the Privacy Policy.
We are committed to processing data in a transparent, secure, and legally compliant manner.
ChọCho does not sell personal data to any third party for their independent advertising purposes.
12. Indemnity, Disclaimers & Limitation of Liability
12.1 Indemnity
You agree to defend, indemnify, and hold harmless the Platform Owner, its parents, subsidiaries, affiliates, and their respective directors, officers, employees, agents, advisors, and successors (collectively, the "Indemnified Parties") from and against any claims, demands, liabilities, damages, losses, costs, or expenses (including but not limited to attorney's fees and litigation costs) arising from or related to your conduct.
12.2 Disclaimer of Warranties
The Platform and Services are provided to you on an "as is" and "as available" basis. To the maximum extent permitted by law, we, our affiliates, partners, service providers, and licensors disclaim all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including but not limited to:
Warranties that the Platform or Services will meet your specific requirements, needs, purposes, or expectations;
Warranties that the Platform or Services will operate continuously, timely, absolutely securely, uninterrupted, error-free, or free from viruses, malware, or other harmful components;
Warranties that any data, content, information, or results obtained from using the Platform or Services will be accurate, reliable, or fit for your purpose;
Warranties that any defects, technical errors, system failures, or deficiencies in the Platform or Services will be detected or promptly corrected.
We reserve the right, at any time, for technical, operational, security, or business reasons, to change, modify, update, suspend, limit, or terminate all or part of the Platform or Services without prior notice. To the extent permitted by law, we, our affiliates, partners, service providers, and licensors shall not be liable for any loss, damage, cost, or consequence arising from or related to your inability to access or use the Platform or Services in such circumstances.
12.3 Limitation of liability
To the fullest extent permitted by law, we, our affiliates, partners, service providers, and licensors shall not be liable to you for:
Any loss or damage related to profits, revenue, or income (whether direct or indirect);
Any damage related to reputation, goodwill, business opportunity, or prestige;
Any damage related to data, including loss, corruption, or damage of data;
Any indirect, incidental, special, punitive, or consequential damages arising from or related to your use or inability to use the Platform or Services, whether we have been advised of or should have known about the possibility of such damages
In no event shall our total liability to you, arising from or related to your use of the Platform or Services, exceed the amount of USD [●] or the equivalent amount in the legal currency of the country where the Platform is used at the time of the breach.
Exemption for Third-Party Disputes: To the extent permitted by law, any dispute between you and any third party arising from or related to your use of the Platform or Services (including but not limited to telecommunications service providers, copyright owners, or other users) shall be resolved directly between you and that third party. You irrevocably release us and our affiliates from any and all claims, demands, liabilities, and damages (known or unknown) arising from or related to such disputes.
You are responsible for any mobile charges that may apply to your use of the Services. If you are unsure what these costs might be, you should ask your service provider before using the Services.
13. Governing Law, Arbitration, Changes & Contact
13.1 Governing law & arbitration
Unless otherwise stipulated in the Supplementary Terms – Specific Jurisdictions, these Terms, including their subject matter, formation, validity, and termination, shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with these Terms shall be finally settled by arbitration at the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC in force at the time of the dispute, which rules are deemed to be incorporated by reference into this clause. The seat of arbitration shall be Singapore. The tribunal shall consist of three (3) arbitrators. The language of the arbitration shall be English.
13.2 Entire agreement
These Terms (including the Supplementary Terms) constitute the entire agreement between you and us regarding the Services and supersede all prior agreements, understandings, and representations, whether oral or written.
13.3 No waiver
Our failure or delay to exercise any right under these Terms does not constitute a waiver of that right.
13.4 Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from the Terms, and the remaining provisions shall remain in full force and effect.
13.5 Changes to the Terms
We may modify these Terms from time to time, for instance, when we update our Services, when we merge multiple applications or services from us or our affiliates into a single service, or when there are changes in laws or regulations. We will use commercially reasonable efforts to generally notify users of material changes, for example, through a notice on the Platform. However, you are responsible for reviewing the Terms periodically for any changes. The "Last Updated" date at the top of the Terms will indicate the effective date of the update. Your continued access or use of the Services after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease accessing and using the Services.
